What a registered agent does

Every LLC and corporation in the US must name a registered agent in each state where it is formed or registered. The agent has a physical street address in that state and accepts legal papers, such as lawsuits and official state notices, on the company's behalf during business hours.

For a founder living abroad, the agent is your company's only fixed point of contact in the state. If the agent stops forwarding mail, resigns or goes out of business, you can miss a lawsuit or a dissolution warning without knowing it.

Who this is for

  • Owners whose formation provider's agent renewal price has jumped.
  • Companies whose current agent is slow or unreliable at forwarding documents.
  • Founders who used a friend or relative as agent and want a professional service instead.
  • Companies whose agent has resigned and who need a replacement before the state acts.
  • Owners consolidating several companies with one provider.

How changing an agent works

Most states have a short form, often called a statement of change of registered agent, filed with the Secretary of State. It names the new agent and their in-state address. Many states let you file it online, and most charge a modest state fee.

Some states let you change the agent on your annual report, but only when the report is due. If you want to switch mid-year, a standalone change form is usually needed. Several states also require the new agent's written consent to the appointment, which we provide.

You do not need to wait for your old agent's contract to end, though you may lose any prepaid time. You also do not need the old agent's permission to replace them.

What BookMyLLC handles

  • Checking your state's current record to confirm the agent and address on file.
  • Preparing the change of agent form for your state, with the correct entity name and file number.
  • Signing the new agent's consent where the state requires it, when BookMyLLC becomes your agent.
  • Filing with the state and paying the state fee.
  • Confirming the state record now shows the new agent, and sending you the filed copy.
  • Setting up document forwarding to your dashboard and email.

Step-by-step process

  1. Tell us the company and state. We pull the state record and check the company is in good standing.
  2. Choose the new agent. Usually that is our registered agent service, but we can file for another agent of your choice.
  3. Sign the authorisation. An authorised member, manager or officer signs the change form.
  4. We file it. Online where possible, by mail where the state requires it.
  5. Confirm and close out. Once the state updates its record, you can cancel the old agent's service and stop any auto-renewal.

Information you need

  • Your company's exact legal name and state file number.
  • The state or states where the agent is changing.
  • The name and title of the person signing for the company.
  • Your principal office address, which some states ask for on the same form.
  • The new agent's name and address if you are not using BookMyLLC.

Timeline

Online filings are often processed within a few business days, and some states update instantly. Mailed filings can take several weeks. Keep your old agent active until the state record shows the new one, so there is no gap in coverage.

If your company is not in good standing

Some states will not accept a change of agent from a company that is delinquent on its annual report or taxes. In that case the missing annual report and fees have to be filed first, or filed together with the change. If the state has already dissolved the company for lack of an agent, a reinstatement filing may be needed. We check this before filing, so the change is not rejected.

Does the IRS need to know?

Usually not. The IRS does not track your registered agent. If you are also changing the company's mailing address, business location or responsible party, that is reported to the IRS separately on Form 8822-B. Banks and payment processors may also need your new address if you used the agent's address with them.

What to look for in a new agent

Price is only one factor. A good agent scans documents the day they arrive and alerts you by email, keeps an online record of everything received, and sends reminders for your state deadlines. Check whether the renewal price is fixed or rises after the first year, and whether cancelling requires notice.

Ask where the agent's office is and whether it is staffed during business hours, which is a legal requirement in most states. If you own companies in several states, one agent covering all of them makes it easier to see every notice in one place. Finally, confirm how service of process is handled outside office hours or during holidays, because the deadline to respond to a lawsuit starts when the agent is served, not when you read the email.

Common mistakes to avoid

  • Cancelling the old agent first. A gap with no agent on record can lead to penalties or dissolution in some states.
  • Changing only one state. A company registered in two states has an agent in each, and both need updating.
  • Using the agent's address as your business address without permission. Many agent services do not allow it, and some banks reject it.
  • Ignoring a resignation notice. When an agent resigns, states give a limited window to appoint a new one.

Before you switch

CheckWhy it matters
Company is in good standingSome states will not accept a change for a delinquent company.
New agent has accepted the roleThe state requires the agent's consent.
Old agent's resignation termsSome agents must file their own resignation.
Annual report timingMany states let you change the agent through the annual report instead.

If your company uses a physical address from the old provider on bank or marketplace records, update those too. Mismatched addresses are a common reason for account reviews.

What the new agent should do on day one

A good provider confirms the change in writing, tells you the effective date and starts forwarding mail as soon as the state records the update. It should also set up notifications for your account so each document arrives with a short description. Check the state's online record a few days after filing to see the new agent listed, and keep the old agent active until you do.

If you are moving to us from another provider, our registered agent service explains what you get with every plan.

Mistakes to avoid when changing agents

  • Cancelling the old agent before the state shows the new one.
  • Forgetting to update the agent on the bank and marketplace records.
  • Choosing an agent by price alone and ignoring how fast they forward mail.
  • Missing the change during the annual report and filing twice.

Frequently Asked Questions

Can I change my registered agent at any time?

Yes. You do not need to wait for your current contract to end or ask the old agent's permission. You file a change form with the state, and the new agent takes over once the state updates its record.

Is there a state fee to change agents?

Most states charge a filing fee for a standalone change, and a few allow the change free of charge on the annual report. We show the state fee separately at checkout.

Can I be my own registered agent?

Only if you have a physical street address in that state and are available there during business hours. Most non-resident founders cannot meet that requirement, so they use a professional agent.

Do I need to tell the IRS I changed agents?

No. The IRS does not record your registered agent. If your mailing address or responsible party is also changing, file Form 8822-B with the IRS within 60 days for a responsible party change.

What happens if my registered agent resigns?

The agent notifies the state and, usually, the company. You then have a limited period to appoint a new agent. If you do not, the state can penalise or dissolve the company.

Will changing agents change my business address?

Not automatically. The registered agent address and your principal office address are separate fields. If you used the old agent's address as your business address, update it at the same time.
