State Annual Report Deadlines 2026

State Annual Report Deadlines 2026

Most US states want a yearly or two-yearly report from your LLC, and the due date depends on the state: Wyoming ties it to your formation month, Delaware wants its LLC tax by June 1, Florida by May 1 and Texas by May 15. A handful of states, including New Mexico, Arizona, Missouri and Ohio, ask for no LLC annual report at all. Use the table below to find your state, then put the date in your calendar before you forget.

Key takeaways

  • Deadlines follow one of three patterns: a fixed calendar date, your formation anniversary month, or a date tied to your tax year.
  • Delaware LLCs pay a flat annual tax instead of filing a report, and that tax rises from $300 to $400 starting with the 2026 tax year.
  • New Mexico, Arizona, Missouri and Ohio do not require LLC annual reports, but you still keep a registered agent there.
  • Missing a deadline usually means a late fee first and administrative dissolution later, which can freeze your bank and payment accounts.
  • Your state report is separate from your IRS filings, such as Form 5472 for foreign-owned single-member LLCs.

Why annual report deadlines matter for non-US founders

An annual report tells the state that your LLC still exists, who its registered agent is and where it can be reached. Some states also collect a tax or fee with it. If you are running your company from Mumbai, Lagos or Dubai, you will not see a reminder letter on your kitchen table, because state notices go to your registered agent or the mailing address on file.

Banks, Stripe and marketplaces often check that your company is "active" or "in good standing" with the state. A lapsed report can turn that status to delinquent or inactive, and a payout review can follow. Keeping this one date straight protects everything else you have built.

2026 annual report deadlines and state fees by state

The table covers the states our clients use most. Fees are state government fees, not service fees, and they can change, so confirm on the state site before you pay.

The three deadline patterns

Fixed calendar dates

Florida, Georgia, Texas, Pennsylvania and Delaware use the same date for every LLC, no matter when it was formed. These are the easiest to remember and the easiest to miss in your first year, because the first due date can arrive only a few months after formation. A Florida LLC formed in November, for example, files its first report the following spring.

Anniversary month

Wyoming, Nevada, Washington, Colorado, New York and Massachusetts tie the deadline to the month your LLC was formed. If your Wyoming LLC was approved in August 2025, your report is due on August 1, 2026. Look at your filed articles or certificate for the exact date, then set a reminder a month earlier.

Tax-year dates

California links its $800 annual LLC tax to your tax year. For a calendar-year LLC, the payment is due April 15. The first-year exemption that applied to LLCs formed in 2021 through 2023 has ended, so a new California LLC owes the tax for its first year.

Delaware's 2026 change

Delaware LLCs do not file an annual report. They pay a flat annual tax by June 1. Delaware House Bill 400 raised that tax from $300 to $400 for tax years starting in 2026. The payment you made by June 1, 2026 covered the 2025 year at the old rate. The first $400 payment is due by June 1, 2027. If you pay late, Delaware adds a $200 penalty plus interest of 1.5% per month on the tax and penalty, according to the Division of Corporations.

What happens if you miss a deadline

The usual sequence looks like this:

  1. Late fee. Florida charges $400 after May 1 and does not waive it. Georgia charges $25. Delaware adds a penalty and monthly interest.
  2. Loss of good standing. The state marks your LLC delinquent or not in good standing. Banks and payment providers may ask questions.
  3. Administrative dissolution or forfeiture. After a period set by each state, the LLC can be dissolved or lose its right to do business. Texas can forfeit an entity's right to transact business if the Public Information Report is not filed.
  4. Reinstatement. Most states let you reinstate by filing the missing reports and paying back fees plus a reinstatement fee. It costs more than filing on time and takes longer.

State reports are not your IRS filings

Founders often assume that filing with the state covers their tax obligations. It does not. A single-member LLC owned by a non-US person generally files Form 5472 with a pro forma Form 1120 each year, due on the Form 1120 due date, which is April 15 for a calendar-year LLC. The IRS penalty for not filing Form 5472 is $25,000. Multi-member LLCs file Form 1065 instead. Our LLC compliance checklist puts the state and federal dates side by side.

This article is general information, not tax or legal advice. A CPA or attorney should confirm the filings that apply to your own LLC.

How to keep track of your date

  • Write your formation date and state on the first page of your company records.
  • Set two reminders: one 30 days before the due date and one 7 days before.
  • Check that your registered agent has a current email for you, since state notices go there.
  • Keep a copy of every filed report and payment receipt. Banks sometimes ask for proof of good standing.
  • If you want someone else to file, use an annual report filing service that tracks the date for you.

Yearly state fees at a glance

The fee attached to the yearly filing is what most founders budget for. These are the state amounts for a standard LLC in several popular states. They are government fees, not our service fees, and states change them from time to time.

Frequently asked questions

When is the Wyoming LLC annual report due?

It is due on the first day of the month in which your LLC was formed, every year. The minimum license tax is $60, or two-tenths of a mill on each dollar of assets located and used in Wyoming, whichever is greater. Most small online businesses pay the $60 minimum.

Does a New Mexico LLC file anything each year?

New Mexico does not require an LLC annual report with the Secretary of State. You still need to keep a registered agent in the state, and your federal IRS filings still apply. Check with the New Mexico Taxation and Revenue Department if your LLC has activity in the state.

My Texas LLC made no money. Do I still file?

Yes. If your annualized revenue is at or below the no-tax-due threshold, $2.65 million for 2026 reports, you do not file a No Tax Due Report, but you still file the Public Information Report or Ownership Information Report by May 15. Skipping it can cost the LLC its right to do business in Texas.

Is the Delaware LLC tax $300 or $400 in 2026?

The payment due June 1, 2026 was $300 for the 2025 tax year. From the 2026 tax year onward the tax is $400, so the payment due June 1, 2027 is $400. Confirm the amount on the Delaware Division of Corporations site when you pay.

What if I already missed my deadline?

File as soon as possible. Most states accept late reports with a penalty while the LLC is still active. If the state has already dissolved or forfeited the LLC, you will need to file for reinstatement, which usually means paying all past-due fees first.
