LLC for UAE Founders

LLC for UAE Founders

Yes, a UAE resident can own a US LLC without a US visa, SSN or US address. You file with a US state, get an EIN from the IRS by fax or mail, and open a US account remotely. The part UAE founders most often get wrong is tax: there is no US-UAE income tax treaty, and the UAE now has its own Corporate Tax, so plan both sides before you file.

Key takeaways

  • Any adult with a valid passport can form a US LLC. Citizenship and residence do not matter to the state.
  • The United States has no income tax treaty with the UAE, so treaty rate reductions available to UK or Indian residents do not apply to you.
  • UAE Corporate Tax is 9% on taxable income above AED 375,000. Where your US company is actually managed from the UAE, the Federal Tax Authority may treat it as UAE resident.
  • A single-member LLC owned by a UAE resident must file Form 5472 with a pro forma Form 1120 every year, even with zero US income. The penalty for missing it is $25,000.
  • US-created LLCs no longer file BOI reports with FinCEN under the final rule effective August 2026.

Why UAE founders form a US LLC

Most founders in Dubai, Abu Dhabi and Sharjah who form a US LLC are not trying to move to the US. They want a US contracting entity that American clients, marketplaces and payment platforms recognise, and a USD account that receives payouts without a correspondent bank delay.

Typical cases include a SaaS founder selling to US companies, an agency billing US clients, an Amazon or Shopify seller, and a consultant whose clients prefer to pay a US vendor. In each case the LLC is a legal wrapper; the work still happens in the UAE.

A US LLC does not replace a UAE trade licence. If you are doing business inside the UAE, you still need the right mainland or free zone licence for that activity. Our UAE company registration team handles that side if you need both.

Step-by-step: forming the LLC from the UAE

  1. Pick a state. Without a US office, you are usually free to choose. Most UAE founders compare Wyoming, New Mexico and Delaware on annual cost and privacy.
  2. Appoint a registered agent. Every state requires an agent with a physical street address in that state to accept legal papers.
  3. File the Articles of Organization. This is the document that creates the company. Your passport details are used for identity checks by your provider, not printed on the state record in most states.
  4. Sign an Operating Agreement. Banks ask for it, and it records that you own 100% of the company.
  5. Get an EIN. File Form SS-4 by fax or mail. The online EIN tool needs an SSN or ITIN, which most UAE residents do not have.
  6. Open a US account. Use the Articles, EIN letter, Operating Agreement and your passport.
  7. Set up your compliance calendar. State annual report dates plus the IRS Form 5472 deadline.

If you want a quick default, the Wyoming LLC page explains why many non-US founders start there.

US tax for a UAE-owned LLC

By default, a single-member LLC is a "disregarded entity" for US income tax. The IRS looks through it to you as the owner. You as a nonresident only pay US income tax if you have income that is effectively connected with a US trade or business, or certain fixed US-source income such as US dividends.

Many UAE founders who work from the UAE and have no US office, staff or agent end up with little or no US income tax. That is a fact-specific question, though. A warehouse in the US, US employees, or a dependent agent in the US can change the answer.

Form 5472: the filing nobody tells you about

Even with zero US tax, a foreign-owned single-member LLC is treated as a corporation for reporting purposes. It must file Form 5472 attached to a pro forma Form 1120 by the corporate return due date, which is April 15 for a calendar year company. It cannot be e-filed; the IRS accepts it by fax or mail. Money you put into or take out of the LLC counts as a reportable transaction.

The IRS penalty for failing to file is $25,000, with more if the failure continues after an IRS notice. It is one of the most expensive mistakes a new owner can make.

No treaty with the UAE

The IRS list of US income tax treaties does not include the UAE. For you, this means US-source dividends, interest or royalties paid to you are generally withheld at the full 30% statutory rate unless another exemption applies. It also means there is no treaty "permanent establishment" test to fall back on, so the domestic US rules decide whether you have a US trade or business.

UAE Corporate Tax and your US LLC

The UAE introduced federal Corporate Tax for financial years starting on or after 1 June 2023. The rate is 0% on taxable income up to AED 375,000 and 9% above that.

Two rules matter for US LLC owners:

  • Natural persons. An individual comes within UAE Corporate Tax when turnover from business activities conducted in the UAE exceeds AED 1 million in a calendar year.
  • Effective management. The FTA says a company formed abroad may be treated as a UAE resident person if it is effectively managed and controlled in the UAE, meaning the key management and commercial decisions are made there in substance.

A US LLC run entirely by one founder sitting in Dubai could fall into either rule depending on facts. We do not give UAE tax opinions; a UAE-registered tax agent should review your structure before you start invoicing.

One relief: the UAE cancelled Economic Substance Regulation reporting for financial years ending after 31 December 2022, so ESR notifications are no longer part of the checklist.

Banking and payments

US banks and fintech platforms each decide which countries they accept. UAE residency is widely accepted, but approvals are not automatic. Expect to show what the business does, who your customers are and where the money comes from.

Have these ready:

  • Certified Articles of Organization and the EIN confirmation letter (CP 575 or 147C)
  • Operating Agreement showing ownership
  • Passport, and often your Emirates ID and a recent utility bill or tenancy contract
  • A website or pitch deck that explains the business

Some platforms also ask for a US phone number and a US business address that is not the registered agent address.

Common mistakes UAE founders make

  • Assuming "no income tax" means "no filings". Form 5472 still applies to a foreign-owned single-member LLC every year.
  • Running UAE business through the US LLC. Invoicing UAE clients from the US company while operating from Dubai without a licence can create licensing and tax issues at home.
  • Letting the registered agent lapse. The state can revoke the company, and you may miss court papers.
  • Mixing personal and business money. It weakens the liability shield and makes the 5472 harder to prepare.

This article is general information, not tax or legal advice. A CPA or attorney, and a UAE tax adviser, should confirm how the rules apply to your situation.

State filing fees for common choices

UAE founders most often compare Wyoming, New Mexico, Delaware and Florida. The one-time state filing fee is only part of the cost, but it is a useful first comparison. These are government fees.

Frequently asked questions

Do I need to visit the US to form an LLC?

No. Formation, EIN and most bank applications are done remotely. Some traditional banks require an in-branch visit, which is why most UAE founders start with online-first providers.

Does BOI reporting apply to my UAE-owned US LLC?

No, as of the FinCEN final rule effective August 2026. Companies created in the US are exempt. Only entities formed under foreign law that register to do business in a US state must report. See our guide to US taxes for non-residents for the filings that do still apply.

Can a UAE free zone company own the US LLC instead of me?

Yes. A company can be the sole member. The LLC is then a disregarded entity owned by a foreign corporation, and Form 5472 still applies. UAE Corporate Tax treatment of the parent changes, so get advice before choosing this route.

How long does the EIN take from the UAE?

The IRS says fax applications from applicants outside the US are generally answered within about 4 business days, and mail takes about 4 weeks. In practice, IRS backlogs can stretch both, so plan for delays.

Will I pay US tax on money I transfer to my UAE account?

Moving money from your LLC to yourself is not itself taxed in the US for a disregarded entity. What matters is whether the LLC's income is US-taxable in the first place. The transfer is, however, reportable on Form 5472.
